Carolyn focuses her practice on public finance and real estate finance transactions.

In her public finance practice, Carolyn has served as bond counsel, underwriter’s counsel, issuer’s counsel and borrower’s counsel on numerous tax-exempt bond financings, including financings for the construction of solid waste disposal facilities, water and sewer facilities, multi-family affordable housing, school district facilities, college and university facilities, independent living and programmatic facilities for people with disabilities and senior living facilities.

In her real estate finance practice, Carolyn primarily represents lenders in connection with the financing of multifamily properties located throughout the United States through the Fannie Mae Delegated Underwriting & Servicing (DUS) and the Freddie Mac Seller-Servicer loan programs, with an emphasis on affordable housing transactions under the Fannie Mae Multifamily Affordable Housing (MAH) and the Freddie Mac Targeted Affordable Housing (TAH) guidelines.

Additionally, Carolyn has represented New York local industrial development agencies and companies in economic development projects involving lease-leaseback transactions with mortgage recording tax exemptions, state and local sales and use tax exemptions and real property tax abatement through payment in lieu of tax (PILOT) agreements.

  • Represented a state issuer as issuer’s transaction counsel and bond counsel in the pooled conduit issuance of $503 million revenue bonds to finance multi-family affordable housing projects.*
  • Represented a state issuer as issuer’s counsel and bond counsel in the pooled conduit issuance of $1 billion revenue bonds to finance school districts’ facilities.*
  • Represented underwriters as underwriters’ counsel in the offering and sale of revenue bonds to finance multi-family affordable housing projects.*
  • Represented underwriters as underwriters’ counsel in the offering and sale of revenue bonds to finance water and sewer infrastructure.*
  • Represented a state issuer as issuer’s counsel and bond counsel in the pooled conduit issuance of revenue bonds to finance independent living facilities for people with disabilities.*
  • Represented a state issuer as issuer’s counsel and bond counsel in the defeasance of a portion of the issuer’s revenue bonds.*
  • Represented a local issuer as issuer’s counsel and bond counsel in the conduit issuance of revenue bonds to finance a senior living facility.*
  • Represented a local economic development agency in a lease-leaseback transaction to provide tax incentives for a homeless housing project.*
  • Represented a state issuer as issuer’s counsel and bond counsel in the refunding of revenue bonds to refinance school districts’ facilitites.*
  • Represented a state issuer as issuer’s counsel and bond counsel in the conduit issuance of revenue bonds to finance university facilitites.*
  • Represented a college as borrower’s counsel in the issuance of revenue bonds to finance school facilitites.*
  • Represented a local public benefit corporation as issuer’s counsel and bond counsel in the conduit issuance of revenue bonds to finance a public library.*
