McGuireWoods continues the expansion of its nationally recognized tax advisory capabilities with the arrival of San Francisco partner Andrew A. Chan, who brings a wealth of experience advising private investment funds and their sponsors on business tax matters.

Chan guides clients through fund formation and structuring, sponsor liquidity transactions and sponsor-level economic planning. He also advises on tax considerations arising from M&A deals, credit facilities and a wide variety of other business transactions. In addition, he represents investors in connection with private investment funds. Chan joins McGuireWoods from Kirkland & Ellis.

“Andrew’s experience in fund formation and sponsor-side tax planning is a tremendous asset to our corporate practice as we continue expanding our reach on the West Coast and nationwide,” said Richard W. Viola, deputy managing partner of the firm’s corporate practice.

Gerald V. Thomas II, chair of the firm’s Tax & Employee Benefits Department, said, “Andrew’s practice aligns perfectly with our commitment to providing sophisticated advisory services on business tax matters, and his presence in San Francisco enhances our ability to serve clients across the private equity and fund formation landscape.”

Richard Starling, co-leader of the firm’s Fund Formation and Investment Management Practice Area, added: “Andrew’s skill set allows us to deliver even more value to clients navigating the intricate tax and structural challenges of private fund launches and ongoing operations.”

McGuireWoods’ Tax Practice Group handles sophisticated transactions, including taxable and tax-free mergers and acquisitions, buyouts, restructurings, financings, real estate deals, joint ventures, fund formation, and inbound and outbound international investments. The firm’s tax practice earned a nationwide ranking in the Legal 500 United States.

“McGuireWoods’ strategic, forward-thinking approach to optimizing tax outcomes and its deep bench of skilled lawyers position the firm to serve clients at the highest level,” Chan said. “I am excited to join this team and look forward to helping clients navigate the complex tax considerations that arise throughout the lifecycle of their funds and investments.”

Chan’s arrival continues McGuireWoods’ West Coast expansion, including the recent additions in Los Angeles of tax partner Shahrooz Shahnavaz and private equity partner Zachary Shub-Essig. The firm also expanded its reach into the Pacific Northwest with the opening of a new office in Seattle.

“Andrew is an outstanding addition to our firm,” said Todd Dressel, managing partner of McGuireWoods’ San Francisco office. “His reputation for delivering practical, client-focused solutions enhances our capabilities on the West Coast and nationally.”
