January 23, 2026

McGuireWoods advised Falfurrias Management Partners in a merger that forms Falfurrias’ new defense technology platform supporting U.S. government defense agencies and commercial partners.

McGuireWoods, longtime legal adviser to Falfurrias, provided counsel in the merger of John H. Northrop & Associates, Coherent Technical Services and EXPANSIA Group. The combination establishes a new national defense technology company supporting warfighters, operators and program offices with digital engineering, full-spectrum modeling and simulation, and advanced fabrication. It employs more than 525 professionals in key defense hubs including Newport News, Virginia; Patuxent River, Maryland; Huntsville, Alabama; Nashua, New Hampshire; and San Diego, California.

The partnership represents the fifth platform investment within Falfurrias’ federal government services and technology investment campaign. Three Falfurrias executives will join the new company’s board.

Partners Christopher Nesbit and Matthew L.C. Cox led the McGuireWoods team representing Falfurrias, which included Edwin Childs, Maura B. Naehr, Jason Vespoli, Maxwell Willinger, Nicole Dalrymple, Sarah Lee Gartside, Janelle Darnell and Gerald V. Thomas II.

“We were proud to assist Falfurrias in bringing together these innovative companies to form a platform that will deliver critical capabilities to government and commercial clients,” Nesbit said. “Our team’s deep experience in complex acquisitions and government contracting in the defense industry allowed us to provide strategic counsel throughout the process, ensuring a seamless and successful combination.”

Based in Charlotte, Falfurrias has raised $3.6 billion across seven funds, including a dedicated growth buyout fund, since its inception in 2006. The firm invests in growing middle-market businesses in the government and business services, food manufacturing and industrial technology sectors.

McGuireWoods’ private equity lawyers advise private equity firms, institutional investors, independent sponsorsemerging managers, family offices, investment advisers, management teams, lenders and portfolio companies. The firm earned nationwide rankings for M&A and private equity deal work in the Chambers USA and Legal 500 United States guides.
