McGuireWoods Advises Longbow Capital and 3C in Multistage Transaction to Launch 3C Datalec Alongside S2G Investments, Apogem Capital and QIC

McGuireWoods deal attorneys guided clients through a complicated two-step process that resulted in the creation of 3C Datalec, a global platform that designs, builds and operates critical infrastructure for AI data centers.

McGuireWoods represented Longbow Capital, a Canadian private equity client that — along with S2G Investments, Apogem Capital and QIC — made key investments in 3C, a liquid-cooling-led data center infrastructure services company. After that transaction — which included forming the equity syndicate and the platform structure — McGuireWoods then represented 3C in its merger with Datalec Precision Installations, a London-based data center engineering specialist, to launch 3C Datalec.

These deals enable 3C Datalec to accelerate its international growth, invest in specialist talent and expand its technical capabilities as AI demand grows. With 2026 combined revenue expected to exceed $400 million, the company is expected to hire 200 engineers and open new facilities in Warsaw, Poland; Calgary, Alberta; and Austin, Texas over the next 12 months.

Billy Herrfeldt led the firm’s representation of Longbow Capital in forming the pooled equity syndicate and platform structure, joined by Jay Hughes, Jon Neal, Devin A. Crisanti, Gretchen Woodruff, Laure Sguario, Ryan Sanders, Kevin Shin, Sydney Payne and Alice Moscicki.

McGuireWoods London partner Mehboob (Mebs) R. Dossa led the firm’s representation of 3C in the merger with Datalec, joined by Herrfeldt, Hughes, Neal, Crisanti, Oscar Ratcliffe, Elin Lindelöw, Hannah Irish and Adam Penman.

“We were proud to represent Longbow Capital in its investment in 3C and to represent 3C in its merger with Datalec,” said Herrfeldt, co-leader of McGuireWoods’ Fund Formation & Investment Management Practice Group, “This multistage transaction transforms a player in one of the world’s most dynamic industries, highlighting our firm’s capabilities to help clients execute their strategies.”
